Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Canopy AI platform, website, API, and related services (the "Service") provided by Canopy AI ("Canopy", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Eligibility
You must be at least 16 years old and have the legal capacity to enter into these Terms. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorised access.
The Service
Canopy provides a creative intelligence platform that enables users to build brand worlds, create production workflows, and generate content across text, image, and video using AI models. The Service includes the web application, API access, MCP integrations, and any associated tools and features.
Your Content and Brand World
You retain ownership of content you upload to or create with the Service ("Your Content"), subject to the rights you grant us to operate the Service. You grant Canopy a limited, non-exclusive licence to host, process, and display Your Content solely to provide and improve the Service for you. Your brand world is private to your account and is not shared with other customers. We do not use Your Content to train shared AI models.
Output Ownership
As between you and Canopy, you own the outputs generated through your use of the Service, subject to: your compliance with these Terms; any applicable restrictions from the third-party AI model providers used in your workflows; and applicable intellectual property laws. You are responsible for ensuring your use of outputs complies with all applicable laws and does not infringe the rights of others.
Acceptable Use
You agree not to: use the Service to generate illegal, harmful, or deceptive content; attempt to reverse-engineer, decompile, or extract the source code of the Service; interfere with or disrupt the Service or its infrastructure; circumvent usage limits, access controls, or security measures; use the Service to build a competing product or service; share account credentials or allow unauthorised access; upload content that infringes the intellectual property rights of others.
Third-Party Model Providers
The Service integrates with third-party AI model providers. Your use of generation features is also subject to the terms and policies of these providers. We do not control and are not responsible for the outputs produced by third-party models. Availability of specific models may change without notice.
Pricing and Payment
Canopy operates on a credit-based model. Subscription plans, credit allocations, and pricing are described on our website and may be updated from time to time. All fees are non-refundable except as required by law or expressly stated in your subscription agreement. We reserve the right to change pricing with reasonable notice.
Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Canopy and protected by intellectual property laws. Nothing in these Terms grants you any right to use Canopy's trademarks, logos, or branding without prior written consent.
Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated outputs may contain inaccuracies, and you are responsible for reviewing and validating all outputs before use.
Limitation of Liability
To the maximum extent permitted by law, Canopy's total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to Canopy in the twelve months preceding the claim. In no event shall Canopy be liable for indirect, incidental, special, consequential, or punitive damages.
Indemnification
You agree to indemnify and hold harmless Canopy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time. Upon termination, your right to use the Service ceases, and we may delete your account data in accordance with our Privacy Policy.
Modifications
We may update these Terms from time to time. Material changes will be communicated via email or notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.
